1. Acceptance of Terms

By accessing and using the H-One e-commerce platform (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and H-One ("Company", "we", "us", or "our") concerning your access to and use of our e-commerce platform and services.

2. Description of Service

H-One provides a multi-tenant Software-as-a-Service (SaaS) e-commerce platform that enables users to create, manage, and operate online stores. Our Service includes:

• Online store creation and customization tools
• Product catalog management
• Order processing and customer management
• Payment processing through Mollie integration
• Analytics and reporting features
• Customer support and technical assistance

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Responsibilities

Account Registration: To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

User Responsibilities: You agree to:

• Provide accurate and truthful information when creating your account
• Maintain the security of your password and identification
• Notify us immediately of any unauthorized use of your account
• Be responsible for all content and activity on your store
• Comply with all applicable laws and regulations
• Not use the Service for any illegal or unauthorized purpose

4. Payment Terms

Subscription Plans: H-One operates on a subscription-based pricing model. By selecting a subscription plan, you agree to pay the fees associated with that plan on a recurring basis (monthly or yearly, as selected).

Payment Processing: All payments are processed through Mollie, a third-party payment processor. By using our Service, you agree to Mollie's terms and conditions.

VAT: Value Added Tax (VAT) may be applied to your subscription fees based on your location and tax status. B2B customers with valid EU VAT numbers may be eligible for reverse charge. All other customers will be charged 21% Dutch VAT.

Price Changes: We reserve the right to change our pricing at any time. If we change the price of your subscription, we will provide you with at least 30 days' notice.

5. Intellectual Property

Our Property: The Service and its original content, features, and functionality are and will remain the exclusive property of H-One and its licensors.

Your Content: You retain all rights to the content you upload to your store. By uploading content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall H-One be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, sales, data, or use
• Loss of goodwill or business reputation
• Service interruption or system failures
• Cost of substitute services

Maximum Liability: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

7. Termination

Termination by You: You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, you will continue to have access to the Service until the end of your current billing period.

Termination by Us: We may terminate or suspend your access to the Service immediately, without prior notice or liability, for breach of these Terms, non-payment of fees, or fraudulent activity.

Data Retention: Following termination, we will retain your data for a period of 30 days to allow you to export your information.

8. Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Jurisdiction: Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the Netherlands.
